Terms of Service

1. Agreement

By accessing or using TriageCounsel, you agree to these Terms of Service and our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the service.

The service is provided under the TriageCounsel trade name while our operating company completes registration; these terms will be updated with the legal entity name once finalized.

2. Service Description

TriageCounsel provides automated contract risk triage using deterministic rules, policy engines, and AI-generated explanations. The service is informational only and does not constitute legal advice. Outputs do not determine legality, enforceability, or whether a contract is safe to sign. You must consult qualified legal counsel before relying on any analysis or taking action on a contract.

3. Eligibility and Account Responsibilities

You must be at least 18 years old and able to form a binding contract. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must provide accurate information when creating your account.

4. Acceptable Use

You agree to use TriageCounsel only for lawful purposes. You may not attempt to reverse-engineer the service, interfere with its operation, or upload documents you do not have the legal right to analyze. You represent that you have obtained any consents required to upload and process contract content through the service.

5. Your Content and Intellectual Property

You retain ownership of documents and content you upload. You grant us a limited license to process that content solely to provide the service (analysis, storage of extracted text and results, and features you enable). We retain ownership of the TriageCounsel platform, software, rules engines, and documentation. Analysis outputs are provided for your use; we do not claim ownership of your contracts or your playbook configurations.

6. Subscription and Billing

Paid plans are billed through Stripe. You may cancel at any time; access continues through the end of your billing period unless otherwise stated. Refunds are handled on a case-by-case basis.

7. Disclaimer of Warranties

TriageCounsel is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that analysis will be complete, accurate, or error-free, or that all risks in a contract will be detected.

8. Limitation of Liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any damages arising from your use of or reliance on analysis results, including decisions to sign, negotiate, or reject a contract. Our total liability for any claim relating to the service is limited to the amount you paid us in the twelve months before the claim, or one hundred U.S. dollars if you have not paid for the service.

9. Indemnification

You agree to indemnify and hold harmless TriageCounsel and its operators from claims arising out of your use of the service, your uploaded content, or your violation of these terms.

10. Termination

You may stop using the service and delete your account at any time. We may suspend or terminate access if you violate these terms or if required for security or legal compliance.

11. Governing Law

These terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except where prohibited by applicable law.

12. Modifications

We may update these terms from time to time. We will post the updated terms on this page with a revised date. Continued use after changes constitutes acceptance of the updated terms.
